Our Technology Transactions Practice Group is dedicated to serving the needs of innovative technology companies, including helping them to structure, negotiate and execute commercial transactions driven by technology and innovation and stay abreast of legislative and regulatory developments which impact their day-to-day operations. We help both established and emerging sector clients use their technology to design, develop, manufacture, market and sell products and services. Likewise, we help them create value and leverage their technology and related intellectual property rights for competitive advantage.

Our Technology Transactions Practice Group regularly handles complex matters involving intellectual property across a wide range of industries, including electronics, semiconductors, telecommunications, software, cloud-based SaaS services, information technology, pharmaceuticals, biotech, medical devices, chemicals and biofuels. The attorneys in this Practice Group function as businesspeople in addition to being lawyers: they have personally founded and sold technology businesses, managed corporate licensing departments, led corporate ethics and compliance teams and handled corporate business development.

Because we have business experience in the industries that we serve, we understand our clients’ business models, and we are able to use this knowledge to facilitate transactions that help our clients achieve their goals. Our technology transactions team is highly multi-disciplinary, and includes attorneys with expertise in licensing, patents and intellectual property, business law, mergers and acquisitions, privacy and cybersecurity, tax, and regulatory law. We are also able to call on attorneys within the firm with many other areas of expertise (such as Government Contracts and International law) when that expertise is needed.

We have extensive experience working with a wide range of agreements involving technology, such as:

  • Patent, technology, software, content and trademark licenses
  • Research and development agreements, joint development and development consortia agreements
  • Strategic collaborations, corporate partnerships and joint ventures
  • OEM, distribution, reseller, VAR and marketing representation agreements
  • eCommerce, cloud computing and software as a service (SaaS) agreements
  • Software development, licensing and open source issues
  • University and Research Institution sponsored research and licensing transactions
  • Consulting and Services Agreements
  • Universities and Research Institutional Agreements
