Bruce Friedman brings decades of experience as a trusted legal advisor and business strategist to his role as partner in the firm’s Corporate, Mergers and Acquisitions and Technology Transactions practice groups.

His diverse background spans big law, in-house counsel roles, entrepreneurial solo practice and executive positions in the international shipping industry, which gives him a unique perspective that bridges legal precision with business practicality. Bruce possesses a unique ability to communicate complex ideas in understandable, engaging spoken and written language. His sound business judgment enables him to quickly respond to cases of first impression and manage competing priorities in fast-moving environments to meet and exceed the strategic goals of clients. Bruce believes that a key to his practice is his ability to enable clients to maximize opportunity and rationally minimize risk.

Bruce’s corporate/commercial practice areas include mergers and acquisitions, joint ventures, private offerings, supply chain/outsourcing, distribution, credit facilities, corporate governance and human resources. His technology/IP practice areas include SaaS and PaaS, AI (including machine vision and learning), IoT (internet of things), e-commerce, cloud-based transactions, mobile platforms, digital marketing, software and hardware and technology development, transfer and licensing.

Bruce’s clients include elite domestic and international clients of all sizes and at all stages in a wide variety of industries that include technology, industrial and consumer products, manufacturing, higher education, building materials, logistics, food and beverage, health and well-being and sports and entertainment.

Prior to his career in law, Bruce was an operations and marketing executive in the international shipping industry. Bruce worked with an affiliated group of air and ocean foreign freight forwarders, air freight consolidators, NVOCCs (ocean freight consolidators), slot charterers and customs house brokers. Two particularly meaningful accomplishments for Bruce are that he opened an air freight office at London Heathrow Airport and, decades after changing careers, is now legal counsel for his shipping industry colleagues.

Representative Experience

  • Represent buyers and sellers in numerous domestic and cross-border merger & acquisition transactions with a focus on technology sectors, such as the strategic asset sale of a beverage developer and distributor to an industry leader/competitor.

  • Represent U.S. based affiliates of foreign industry leaders in various technology transactions, such as IP licensing and acquisition transactions for one of the world’s largest Japanese-based trading companies.

  • Counsel clients in all forms of debt financing transactions, such as a mixed convertible debt/preferred equity financing structured between a growth-stage boutique miller and distributor of specialty grains and the market leader in its industry.

  • Counsel U.S. based affiliates of foreign industry leaders in various corporate expansion transactions, such as acquisitions, spinouts and global licensing deals for a publicly-traded global tech company based in Europe.

  • Advise clients on a day-to-day basis in business and commercial transactions ranging from engaging contractors to establishing domestic and international supply channels and distribution networks.

  • Represent clients in forming, maintaining and terminating their relationships with executives and independent contractors.

  • Regularly advise companies on choice of entity, entity formation, operating and shareholder agreements and corporate governance.

  • Negotiate and document domestic and international licensing and technology transactions of all types in a wide variety of industry sectors.

  • Structure, negotiate and document the formation and ongoing framework for joint ventures and strategic alliances.

  • Advise clients in connection with all types of fund-raising activities, including private equity, venture capital, private placements, bank loans and factoring arrangements.

  • Advise hedge funds and venture capital funds in connection with formation and fund-raising matters as well as their management and operation of portfolio companies.

  • Counsel clients in connection with creating, registering, protecting and maintaining intellectual property portfolios.

  • Counsel clients regarding a wide variety of regulatory and industry standards compliance.
