Victoria (Vicky) Husband is a partner in the firm's General Counsel and Corporate practice groups. After six years in big law and sixteen years as in-house counsel, she thinks like the client sitting across the table, a perspective that allows her to navigate both the legal dimensions and business implications inherent to every engagement.
Vicky’s practice focuses on outside general counsel services, complex commercial contracts, and compliance and risk management. She primarily works with founders, growth-stage businesses, and solo / small team GCs seeking senior legal counsel and a trusted partner to build the strategic legal, compliance, and risk frameworks their organizations need to scale safely. Central to her approach is a conviction she has held throughout her career: that legal and compliance work is most valuable when it is genuinely embedded within an organization and in partnership with stakeholders, rather than imposed as an afterthought.
Before joining Potomac Law Group, Vicky spent the majority of her career in senior in-house roles, most recently as EVP, Head of Legal and Chief Compliance Officer at Amherst, a founder-led, private equity-backed real estate platform, and prior to that as Deputy General Counsel at CEB (now Gartner), a publicly traded global technology and research company. Her work has spanned corporate governance, contract negotiation and management, data privacy, regulatory compliance, and dispute resolution across the real estate, technology, and research services industries.
As a partner at PLG, Vicky has gained something she had long sought: the ability to build a practice on her own terms. Guided by her faith and a deep commitment to treating people with honesty and care, she shows up for her clients as she would expect an attorney to show up for herself, ensuring her legal counsel always aligns with the operational realities of their organizations. A graduate of Harvard Law School, where she served as Co-Editor-in-Chief of the Harvard Negotiation Law Review, Vicky is based in Austin, Texas. She volunteers with Austin Pets Alive!, serves as a founding member and Director of the Lake Travis Bar Association, and is a board member of the Lake Travis Boys Lacrosse Club.
Representative Experience
Corporate and Commercial Transactions
- Structured, negotiated, and drafted a high volume of complex commercial agreements, including master services agreements, SaaS agreements, data protection agreements, and purchase and sale agreements, for a private equity-backed real estate investment, development, and management platform; developed contract templates and implemented contract management best practices that meaningfully improved operational efficiency.
- Revised contract templates and streamlined the contracting process for a global technology and services company, improving efficiency across the sales cycle; negotiated and managed a high volume of complex commercial agreements, including master services agreements and data protection agreements.
- Negotiated and managed hundreds of commercial contracts for a pharmaceutical research company, including master service agreements, licensing arrangements covering data, technology, and other intellectual property, copyright transfer agreements, and compliance frameworks for real-world evidence development.
Outside General Counsel
- Provide strategic and tactical guidance to a professional services company on new businesses, products, and services, including leveraging intellectual property assets, assessing regulatory risk, structuring commercial transactions, and implementing protective measures for intellectual property, technology, and brand assets.
- Structured and managed all legal and compliance work related to the formation and ongoing administration of various licensed entities, including real estate brokerages, a mortgage brokerage, a title company, an insurance producer, and a captive insurance company.
- Developed a privacy compliance framework for a real estate company operating in approximately 25 states, including data privacy, record retention, information classification, and information security policies; successfully managed data privacy incident response.
- Led subject matter-specific and cross-functional legal and compliance risk assessments, analyzing findings for executive-level presentations and guiding executive decision-making and change management strategies.
- Supervised a real estate management company's litigation team in managing all legal disputes, including consumer, vendor, and third-party claims and government complaints, with a focus on effective dispute resolution and minimizing legal exposure.
Compliance and Risk Management
- Developed and led comprehensive compliance programs for a real estate investment, development, and management platform, encompassing regulatory tracking, policy development, training for 1,000+ employees, and implementation of compliance software tools, ensuring adherence to applicable federal, state, and local laws including FHA, UDAP, TCPA, FDCPA, FCRA, FCPA, AML, and landlord-tenant laws.
- Developed, implemented, and managed the corporate compliance program for a global technology and services company, including compliance policies and training, anti-bribery and FCPA risk management, trade sanctions, insider trading and antitrust protocols, and extension of the program across geographies and newly acquired entities.
- Partnered with sales, business development, finance, and scientific teams of a pharmaceutical research company to drive project compliance and risk mitigation, ensuring adherence to contract terms, company policies, and regulatory requirements including HIPAA, the Anti-Kickback Statute, the Sunshine Act, and a corporate integrity agreement.
- Managed a multi-million-dollar insurance program for a real estate company, including coverage placement, claims oversight, annual audits, and loss prevention strategies.
