Dana L. Desenberg

Dana Desenberg is a partner in the firm’s Corporate and Transactional group based in Houston, Texas.  Dana is a seasoned corporate attorney with more than 30 years of experience representing companies, investors, and founders across a broad range of industries including energy, technology, manufacturing, healthcare, consumer products, advertising, and franchising.  As the co-founder of Lee & Desenberg, PLLC prior to joining PLG, Dana understands the challenges business owners face every day and offers practical, business-oriented solutions. She is known for her pragmatic, common-sense approach and her ability to efficiently navigate complex matters while keeping business objectives front and center.

Dana focuses her practice on mergers and acquisitions, corporate governance, commercial transactions, finance, tax structuring, real estate, and franchising.  Dana frequently serves as outside general counsel to her clients, on everything from day-to-day operations to strategic initiatives.

• Represented private equity firms and family offices buying controlling interest in self-storage company, music and entertainment venue and solar leasing company.
• Represented management in buy-out of private equity and related financing.
• Represented large minority owner of a private company in sale to publicly traded company.
• Represented significant minority owner in connection with an IPO.

 Corporate Governance and General Counsel Services

• Formed Texas and Delaware limited liability companies, partnerships and corporations and negotiated related governance and buy-sell agreements.
• Represented advertising agency in negotiating master service agreements with their Fortune 500 Company clients.
• Advised Mexican company entering US market as to best tax and corporate structure and implementation of the same.
• Advised company on issues in connection with misconduct by owner and negotiated related settlement.

• Advised and implemented reorganization of private oil and gas company in connection with bringing in new equity investment.

• Represented tenants of national mattress retailer in lease negotiations throughout the U.S..
• Represented buyer of property with medical waste processing operations.
