Barrie Friend Hananel is a Partner in the firm’s Corporate and Transactional practice, bringing over 15 years of experience advising financial institutions, private equity sponsors, and growth-stage companies on a wide range of financing and corporate matters. She has a deep background in representing both lenders and borrowers in complex commercial loan transactions, including senior, mezzanine, second-lien, and asset-based financings. Known for her practical, solution-oriented approach, Barrie regularly negotiates credit agreements, intercreditor arrangements, and other loan documentation across diverse industries.
Prior to joining PLG, Barrie practiced for over a decade at Katten Muchin Rosenman LLP and also served as General Counsel for a family office and an eco-friendly consumer products company. She also brings PLG her in-house experience advising an investment platform focused on early-stage food and beverage ventures. This blend of law firm and corporate roles gives her a nuanced understanding of her clients’ strategic priorities and operational challenges.

- Represented administrative agent, collateral agent and joint lead arranger in a senior secured credit facility of $80,000,000 provided in support of the financing of a private equity owned manufacturer of high quality outdoor optics.
- Represented lead minority investor in a professional baseball team in negotiating, documenting and obtaining MLB and bank approval of equity financing and related equity transactions.
- Advised on fund formation documentation for a growth stage comingled investment vehicle focused on CPG companies.
- Represented a non-bank financial institution in a senior credit facility structured to meet the unique financial and operational needs of an international franchise ice cream corporation.
- Represented administrative agent in a senior secured credit facility of $300,000,000 provided in support of the financing of a private equity owned logistics and transportation company.
- Documented, negotiated and closed a $30,000,000 subordinated credit facility made by a non-bank financial institution to a national home service company.
- Represented administrative agent and lead arranger in a senior secured credit facility of $60,000,000 provided in support of the financing of a private equity owned franchise fast food corporation.
- Drafted and negotiated co-manufacturing and packaging agreements, logistics and transportation agreements, licensing agreements and intellectual property agreements for early-stage startup and high-growth venture food and beverage companies.
