Bryan Fisher is an Associate in the firm’s Corporate and Transactional practice where he advises clients on a wide variety of corporate matters, including mergers and acquisitions, corporate governance, and business formation and development. He has assisted businesses in the structuring of transactions, which encompasses drafting purchase agreements and other transactional documents, reviewing contracts and other matters in relation to the due diligence process.

Mr. Fisher is a member of a specialized practice group, focusing on complex reorganizations and M&A transactions in the wealth management and financial services industry, but has experience assisting clients in transactions across a diverse collection of industries.

  • Served as counsel on a team in the representation of a financial advisory/wealth management firm in a sale of equity to an independent financial services firm for $160MM.
  • Assisted in the representation of various wealth management companies in the acquisition and sale of certain customer financial accounts in the financial services industry.
  • Served as U.S. counsel on a team in the representation of a Dominican Republic company in the strategic recapitalization and merger of a manufacturing company’s coating division.
  • Represented privately held business clients in the negotiation and drafting of operating agreements, buy-sell agreements, and other agreements relative to ownership and management issues.
  • Served as buy-side counsel on a team in the representation of a financial advisory services business for $8,000,000
  • Served as sell-side counsel on a team in the representation of a wealth management firm in a sale of assets to a sophisticated private equity backed financial advisory services firm (RIA and broker-dealer) for $7,750,000
  • Assisted in the representation of a Florida based authorized cell phone dealer in the purchase of assets related to the operations of an authorized dealer selling cellular telephones, cellular telephone accessories, and prepaid wireless plans for $1,528,500
  • Served on a team in the representation of a northeastern Ohio based manufacturer of thin-film coatings, with a broad customer base in the polymer and glass optical markets, in its acquisition of a Texas based coatings company for $3,400,000
  • Served on a team as buy-side counsel in the representation of a marketing and digital services firm in its investment in a provider of YouTube Ads for Coaches & Course Creators for $1,100,000
  • Assisted in the representation of a wealth management firm in a sale of equity to a national financial advisory services firm (RIA and broker-dealer) for $17,700,000
