Our Banking and Commercial Loan Group is comprised of experienced banking and commercial lending attorneys who cost-effectively structure, negotiate, document and close basic and complex financing arrangements and commercial loan transactions, including secured and unsecured mezzanine debt, subordinate debt, single bank (bilateral) loans, syndicated loans (representing the lead/agent bank), participations, club deals, multiple tranche loans, foreign currency facilities, acquisition, revolving, term and working capital credit facilities, letters of credit, guaranty arrangements, swing line facilities, ESOP loans, hypothecations and pledges, as well as commercial real estate acquisition, development and construction loans. The nature of the collateral for such loan transactions is highly diverse, and includes equipment, inventory, accounts receivable, residential and commercial real estate (including convenience, oil and gas station assets, golf courses, hotels, office buildings and churches), intellectual property, airplane engines, electronic paper and investment property.

The members of our Banking and Commercial Loan Group have significant experience handling loans involving a wide array of different industries, with a particular emphasis on government contractor financing arrangements and credit facilities (including asset based (ABL) loans, cash flow lending and other credit arrangements leveraging government contract accounts receivable, some of which utilize Assignment of Claims Act documentation).

Both lenders and borrowers alike regularly engage members of our Banking and Commercial Loan Group to document and negotiate term sheets, commitment letters, credit agreements, promissory notes, security agreements, intercreditor agreements, subordination agreements, collateral agency agreements, note purchase agreements, loan sale agreements and, when things go awry, forbearance and work-out agreements.

Our Banking and Commercial Loan Group attorneys have an established reputation as detail oriented, practical and accomplished deal makers who regularly represent more than 20 different local national, regional and community banks and financial institutions in the Washington, DC, metropolitan area, as well as private equity groups, funds, high net worth individuals, family-owned businesses, hard money lenders and companies obtaining credit accommodations from these and other capital providers. The Banking and Commercial Loan Group also regularly assists in-house counsel of mid-sized and large companies in reviewing general business contracts, including vendor agreements, IT service contracts, supply agreements and credit enhancement contracts.
